Content Submission Agreement

This Content Submission Agreement (“Agreement”) governs the submission of content (such as press releases, announcements, media assets, and supporting materials) by individuals and organizations (“you”) to Vivid Group Holdings, Inc. d/b/a EZ Newswire (“we,” “our,” or “the platform”). By submitting content through our platform, you agree to the following terms:

By submitting content through our platform, you agree to the following terms:

• Representations and Authority

  By submitting content, you confirm that:

  • You have reviewed and approved the content in its entirety.

  • The information provided is true, accurate, and not misleading.

  • You are either:

  • (a) an authorized representative of the company or organization the content represents, or

  • (b) an authorized agent (e.g., public relations, marketing, or communications firm) acting with full authority on behalf of the company or organization named in the content.

  • You have the legal right to submit the content and bind the represented company to this Agreement.

• Ownership and Rights

  You represent and warrant that:

  • All submitted content is original and exclusively owned by you or by the company or organization the content represents.

  • The content does not infringe on any third-party intellectual property rights.

  • The content’s submission and distribution do not violate any laws, regulations, confidentiality obligations, or contractual restrictions.

• License to Edit and Distribute

  You grant EZ Newswire a non-exclusive, royalty-free, worldwide license to:

  • Edit, adapt, and modify the content at our discretion, including for grammar, tone, style, formatting, or to meet our editorial and publishing standards.

  • Publish, distribute, and syndicate the content through our platform and distribution partners.

  While we aim to preserve the substance and intent of your content, we may make editorial changes to improve clarity, consistency, and compliance with our standards.

• Right to Refuse or Remove Content

  We reserve the right, at our sole discretion, to:

  • Refuse to publish or distribute any submitted content; and

  • Remove or retract any content at any time, including for violations of our Terms of Service, editorial policies, or applicable law.

• Agreement to Terms

  By submitting content through our platform, you also agree to our Terms of Service and Privacy Policy. If you are submitting on behalf of a client or employer, you confirm that they have also read and accepted these terms.
