Content Submission Agreement

This Content Submission Agreement (“Agreement”) governs the submission of content (including press releases, announcements, media assets, and supporting materials) by individuals and organizations (“you”) to Vivid Group Holdings, Inc. d/b/a EZ Newswire (“EZ Newswire,” “we,” or “us”) through its content distribution platform (the “Platform”).
By submitting content through the Platform, you agree to the following terms:

• Representations and Authority

  By submitting content, you represent and warrant that:

  • You have reviewed and approved the content in its entirety.

  • The information provided is true, accurate, complete, and not misleading.

  • The content complies with EZ Newswire’s Content Guidelines, as updated from time to time, including all editorial, quality, legal, and platform-alignment requirements.

  • You are either:

  • (a) an authorized representative of the company or organization identified in the content; or

  • (b) an authorized agent (including a public relations, marketing, or communications firm) acting with full authority on behalf of the company or organization identified in the content.

  • You have the legal right to submit the content and to bind the represented company or organization to this Agreement.

• Ownership and Rights

  You represent and warrant that:

  • All submitted content is original and owned by you or by the company or organization the content represents, or that you otherwise have all necessary rights, licenses, and permissions to submit the content.

  • The content does not infringe, misappropriate, or violate any third-party intellectual property, publicity, privacy, or other proprietary rights.

  • The submission and distribution of the content do not violate any applicable laws, regulations, confidentiality obligations, or contractual restrictions.

• License to Edit and Distribute

  You grant EZ Newswire a non-exclusive, royalty-free, worldwide license to:

  • Edit, adapt, and modify the content, including for grammar, tone, style, formatting, clarity, compliance with the Content Guidelines, or to meet editorial, technical, or publishing standards; and

  • Publish, distribute, syndicate, archive, and otherwise make the content available through the Platform and EZ Newswire’s distribution partners.

  While EZ Newswire aims to preserve the substance and intent of submitted content, you acknowledge and agree that editorial or technical modifications may be made to improve clarity, consistency, compliance, distribution effectiveness, or publisher acceptance.

• Right to Refuse or Remove Content

  EZ Newswire reserves the right, in its sole and absolute discretion, to:

  • Refuse to publish or distribute any submitted content; and

  • Remove, retract, suspend, or disable access to any content at any time, with or without notice, including content that otherwise appears to comply with this Agreement or the Content Guidelines, for editorial, legal, policy, quality, reputational, business, or compliance reasons.

• Agreement to Content Guidelines and Additional Terms

  By submitting content through the Platform, you expressly agree to comply with:

  • EZ Newswire’s Content Guidelines;

  • EZ Newswire’s Terms of Service; and

  • EZ Newswire’s Privacy Policy,

  each as updated from time to time and incorporated by reference into this Agreement.

  If you are submitting content on behalf of a client, employer, or other third party, you represent and warrant that such party has reviewed and accepted this Agreement, the Content Guidelines, the Terms of Service, and the Privacy Policy.
